在使用 [rapidr.sg] 或任何其他关联网站(“网站”),以及 RAPIDR 移动应用程序及其各项功能(“应用程序”) (统称“平台”)。本平台系软件解决方案,旨在为客户提供医疗保健及健康服务提供商网络以及相关医疗保健与健康服务(“服务”)。
通过在移动设备(“设备”)上的应用程序注册账户,或通过网站进行购买,以及一般性地使用平台, 即表示您同意受本协议条款以及平台上显示的所有其他条款和政策(包括我们在[隐私政策网站链接]中列出的隐私政策条款,或应用程序及常见问题解答中的条款)的约束。
本协议由 GoDoc (Singapore) Pte. Ltd.(UEN:202306095G)(“GoDoc”、 “RapiDr”、“我们”或“我们的”)与您(统称“双方”)就您使用平台及通过平台或与平台相关提供的任何功能、服务或特性而订立,本协议中提及使用任何平台之处,亦涵盖对该等功能、服务或特性的使用。 服务可能由RapiDr、我们的关联公司、RapiDr合作医疗服务提供商或合作伙伴提供。就本协议而言,“合作伙伴”应包括产品/药品的供应商或配送服务提供商。
如果您不同意本协议的条款或不符合使用平台的要求,请勿使用平台。
重要提示:请勿在医疗紧急情况下使用应用程序中的视频咨询功能。若您遇到医疗紧急情况,请立即亲自就医或拨打急救电话。
1. 您的账户
1.1 您需要拥有一个账户才能通过平台访问服务。您可在平台上注册账户。注册流程要求您提供个人信息,包括姓名、身份证/护照号码、保单号、出生日期、地址、电话号码、电子邮件地址及/或我们可能要求的其他信息。
1.2 您应遵守我们不时推出的适用于本平台的所有安全程序。
1.3 您应全权负责维护本平台账户信息(包括任何用户名和密码)的机密性,并应对该信息的任何泄露或未经授权的使用承担责任。您不得在任何时候向任何第三方披露此类账户信息。
1.4 若您认为您的账户信息安全已受到威胁,应立即通知我们。
1.5 通过本平台注册账户,即表示您声明并保证:
1.5.1 您已年满18周岁;
1.5.2 您拥有签订本协议的完全权利、权力和法律授权;
1.5.3 您提供的所有信息、数据及细节均完整、准确、真实且正确;以及
1.5.4 您仅将平台用于个人用途,且不会授权他人使用您的账户,亦不会将其转让或让与任何其他人(下文所述为您作为父母或法定监护人的子女账户,或老年人账户除外)。我们有权自行决定:(i) 若您未满足上述任何一项资格标准,则拒绝您的注册;(ii) 暂停/终止您在应用程序中的账户;及/或 (iii) 随时更改上述资格标准。
1.6 若您是未满18周岁儿童/受监护人的父母/法定监护人,您可在您的账户下创建附属子账户,以便您的子女/受监护人使用本平台并获取服务。允许您的子女使用您的账户获取服务,即表示您同意承担以下责任:(i) 您的子女/受监护人在使用本应用程序时的行为; (ii) 您子女/受监护人使用应用程序产生的任何费用;以及 (iii) 其遵守本协议的情况。在任何视频咨询期间,您必须在场并陪同您的子女/受监护人,且在您的子女/受监护人购买的任何产品交付时,您必须在场。
1.7 若您未满18周岁,请联系您的父母/监护人,在其账户下创建附属子账户,以便您使用本服务。
1.8 若您代表有特殊需求的老年人(包括但不限于视力或听力障碍)使用本服务,在与该老年人进行任何视频或面诊时,您必须在场。 购买任何产品时,您必须在产品送达地点等候。您负责支付向该长者提供的服务费用,并负责为该长者购买产品及安排送货。您将承担本协议中与该长者相关的义务。
2. 您对平台的使用
2.1 在您始终遵守本协议条款的前提下,我们同意授予您一项不可转让、不可再许可且非排他性的许可,允许您在设备上使用本网站和/或应用程序以获取服务。 RapiDr 保留未明确授予您的所有其他权利。
2.2 网站和/或应用程序中使用的某些软件组件可能根据第三方许可提供,届时我们将通知您;在此情况下,您对这些组件的使用仅在《协议》与该等条款存在不一致之处时受该等条款约束。
2.3 在不影响上述条款一般性的前提下,您不得(且不得明知或不知情地授权、允许或协助任何第三方):
2.3.1 修改或改编本网站和/或应用程序的全部或任何部分,或允许本网站和/或应用程序或其任何部分与您创建的任何其他应用程序、程序或其他平台结合或被纳入其中;
2.3.2 对本网站和/或应用程序或其任何组件进行反汇编、反编译、逆向工程或以其他方式试图推导其源代码;
2.3.3 传播、再发布、上传、发布、传输、编辑、再利用、出租、租赁、出借、出售、转让、分发、提供、授权、再授权,或基于本网站和/或应用程序的全部或任何部分创作衍生作品或改编作品;
2.3.4 以任何非法方式、为任何非法目的,或以任何与本协议不符的方式,或违反任何适用法律(包括侵犯我们或任何第三方与应用程序相关的知识产权)的方式使用本网站和/或应用程序;
2.3.5 以可能损害、禁用、削弱或危及应用程序(或本网站和/或应用程序的系统或安全,或与之相关的任何其他计算机系统或设备)的方式使用本网站和/或应用程序,或干扰其他用户,或影响本网站和/或应用程序及/或 GoDoc 的声誉;
2.3.6 发布或传输任何包含病毒、蠕虫、特洛伊木马或其他任何有害或破坏性元素的文件或电子邮件;
2.3.7 使用任何自动化流程或服务访问和/或使用本网站和/或应用程序;和/或
2.3.8 向任何第三方提供、分发或分享本网站和/或应用程序(或与其相关的任何数据),或促成其向第三方提供、分发或分享。
3. SERVICES(I) General
3.1 It shall be your sole responsibility, at your own cost:
3.1.1 to obtain all necessary hardware, software and communications services necessary for your use of the Application. Any network connectivity costs shall be born exclusively by you;
3.1.2 to take steps to ensure the security of your Device; and
3.1.3 to make back-ups of data or other content posted via the Application, as these may be subsequently deleted by us or our service providers at any time without notice to you.
3.2 You agree that:
3.2.1 you are responsible for the correctness and accuracy of the information, particulars, statements, photographs, laboratory test results or diagnostic images furnished by you to GoDoc and/or the Healthcare Provider;
3.2.2 you are responsible for entering in the correct registration details to link your health insurance or to enjoy any corporate benefits. No refunds will be provided if you proceed with a transaction without the appropriate registration details;
3.2.3 you shall be personally liable for, and to pay, any fees or charges in accordance with any terms in effect at the time they are incurred;
3.2.4 the licences granted herein do not confer on you any rights to use any other intellectual property rights of GoDoc, our affiliates, partners and/or licensors (as the case may be), including “RapiDr”, the RapiDr logos and any other logos, service marks, slogans, product names and designations and other proprietary indicia used as part of the Platforms, all of which are and remain the property of GoDoc, our affiliates, partners and/or licensors (as the case may be);
3.2.5 you shall comply with all applicable laws; and
3.2.6 we shall have the right to at any time and from time to time:
3.2.6.1 automatically update the Application and its components on your Device, add or remove functionalities, features or services (collectively, “Application Functions“);
3.2.6.2 vary user account rights or impose user account restrictions, resource limits or fees or suspend or terminate Application Functions and/or user rights; and/or
3.2.6.3 deny or restrict access to the Application or any Application Functions whether to any user or generally, or to block access from or to any resources at any time without ascribing any reasons whatsoever, and in any such event, you agree that no claims shall lie against us, our related companies, our agents, our partners or our service providers in connection therewith.(II) Video Consultation/Telehealth Services
3.3 We may offer various healthcare/telehealth services on the Platforms including medical consultations, mental wellness consultations, and other health and wellness services (“Healthcare Services”).
3.4 If you are using the video consultation functionality, you acknowledge and agree that:
3.4.1 You may arrange and schedule video consultations with providers who deliver the Healthcare Services (“Healthcare Providers”);
3.4.2 All requests for video consultation shall be subject to the Healthcare Providers’ acceptance in his/her sole discretion and each consultation accepted by a Healthcare Provider shall constitute a separate agreement between the Healthcare Provider and you, to which neither GoDoc nor our affiliates are a party to;
3.4.3 The Healthcare Providers are independent professionals. Each Healthcare Provider is responsible for his/her Healthcare Services rendered to you and compliance with the requirements of his/her profession and licence;
3.4.4 GoDoc is merely a provider of the Platforms, and other supporting services, and does not provide or engage in Healthcare Services. Neither GoDoc nor any third parties who promote the Healthcare Services, facilitate the provision of the Healthcare Services or provide you with a link to the Healthcare Services shall be liable for any professional advice you obtain from a Healthcare Provider via the Website or Application. GoDoc does not take on any duty of care to you in respect of the provision of medical services;
3.4.5 You shall ensure that the internet connection to which your Device is connected is of sufficient quality and strength to host a video consultation, otherwise video and/or audio quality may suffer;
3.4.6 Once your request is accepted, the Application may provide your information to the Healthcare Provider, including your name and identification number. You agree to provide proof of identity (which includes a valid photo identification, company identification and/or insurance card) and such information as requested by the Healthcare Provider to verify your identity at the start of or at any time during the video consultation. You acknowledge that you may be denied Healthcare Services if you refuse to provide proof of identity or assume a false identity. The Healthcare Provider reserves the right to decline any request for video consultation through the Application in its absolute discretion;
3.4.7 You acknowledge that there are inherent limitations to video consultations and that in respect of certain medical situations, physical consultations may be a more appropriate medium for medical evaluation, diagnosis and/or consultation. Such medical situations include, but are not limited to: (i) situations requiring urgent care or emergency conditions; (ii) serious conditions (e.g. breathlessness, severe or persistent pains, cardiac arrest); (iii) chronic conditions which have not been previously diagnosed by a doctor; and (iv) any condition requiring further investigations including but not limited to laboratory tests, and imaging modalities;
3.4.8 In the case of the “Specialists” video consultation functionality, you understand and agree that the medical evaluation/diagnosis provided shall be intended as a provisional opinion (or second opinion) and shall be solely based on information made available, presented and discussed for or during the video consultation. Such medical evaluation/diagnosis is not intended to be a substitute for an in-person consultation or treatment. It is advisable to seek further clarification, examination, diagnosis and/or an in-person consultation for a more comprehensive medical assessment before beginning any definitive treatment;
3.4.9 The Healthcare Services are intended to be provided to users in Singapore and the Healthcare Providers are not qualified/licensed to consult/treat users outside Singapore;
3.4.10 GoDoc does not, and shall not be deemed to, direct or control the Healthcare Provider generally or in the Healthcare Provider’s performance under this Agreement specifically, including in connection with the Healthcare Provider’s provision of Healthcare Services or the Healthcare Provider’s acts or omissions;
3.4.11 Any opinions, advice or information expressed by the Healthcare Provider are those of the Healthcare Provider alone and they do not reflect the opinions of GoDoc;
3.4.12 You are responsible for the correctness and accuracy of the particulars, statements and images including your symptoms, health history, photographs, laboratory test results or diagnostic images furnished/uploaded by you to the Healthcare Provider;
3.4.13 You shall comply with any advice by any Healthcare Provider to consult a doctor or other healthcare professional in person or seek emergency or other treatment;
3.4.14 You shall (i) comply with any instructions given in relation to any prescription provided to you including, in particular, route, timing and dosages; (ii) promptly report any side effects of any prescription to a doctor; (iii) check the labels of the medication prescribed to verify the medication matches the prescription before consuming the medication delivered; (iv) protect anything prescribed to you and not permit any other person access to the prescribed medication; and (v) not use any prescription after its expiry date;
3.4.15 Upon the completion of the Healthcare Services, we will issue a receipt to you via email or in such other manner as determined by us on the Healthcare Provider’s behalf;
3.4.16 You shall not record in any media your interactions with the Healthcare Providers through the Application;
3.4.17 You shall not conduct yourself in an inappropriate manner when interacting with the Healthcare Provider, or display/upload any inappropriate or medically-irrelevant images to the Application. Any such conduct may result in the termination of your Account and/or deletion of the images from the Application; and
3.4.18 You shall comply with our cancellation terms set out in clause 6 below.
5. 药品配送
5.1 如有配送费,应按适用订单表中规定执行。
5.2 药品配送将由 GoDoc 在应用程序中通知的指定合作伙伴负责,且仅限新加坡境内提供。 您同意,GoDoc 及其任何关联公司均不对配送问题承担责任,任何相关沟通应直接向应用程序中通知的 GoDoc 指定合作伙伴提出。
5.3 您确认并同意:
5.3.1 药品配送取决于药品的供应情况;
5.3.2 由应用程序中通知的 GoDoc 指定合作伙伴提供的药品配送服务基于合理努力原则。 网站/应用程序上列出的所有送达时间仅为预估,因为可能会出现延误或 GoDoc 无法控制的不可预见情况;
5.3.3 无论因何原因导致药品送达延误,GoDoc 及其指定合作伙伴(及其任何代理)均不承担任何责任。
5.4 GoDoc 及其配送服务合作伙伴将尽合理努力在您选择的时间段内联系您,以完成药品的配送。 若您在送达时未在指定地址,可能需支付额外费用以安排订单重送或上门服务的额外行程。若您在送达时不在场,处方药物将不会被留置在指定地址。
5.5 若您未能接收药品(非因GoDoc或其指定合作伙伴(视具体情况而定)的过错所致),在不影响GoDoc可享有的任何其他权利或救济措施的前提下,GoDoc或其指定合作伙伴(视具体情况而定)(或其任何代理)对未能交付您的药品不承担任何责任。
6. 付款(I) 概述
6.1 您同意根据费用到期时生效的费用、收费及计费条款,通过信用卡或应用程序中提供的任何其他支付服务,向您的账户支付所有费用(定义见下文)。
6.2 我们可随时出于任何原因要求您提供额外信息或文件,包括确认您的身份、年龄,以及/或确认您的银行账户信息或借记卡、信用卡、预付卡等支付方式。您同意在收到要求后立即向我们提供此类信息和/或文件。若您未能及时提供,我们可能会限制您对账户的使用或暂停您的账户。
6.3 您授权我们出于任何原因,在任何时候进行我们认为必要的查询(无论是直接查询还是通过第三方),以验证您的身份。
6.4 向 GoDoc 提供您的付款信息即表示,您同意授权 GoDoc 立即就本协议项下应付给 GoDoc 的所有费用和收费向您开具账单,且无需另行通知或征得同意。
6.5 您同意并确认,GoDoc无法在应用程序、其服务器及/或任何数据存储设施中存储您的信用卡或支付信息。您在指定浏览器系统中的任何存储行为均由您自行承担风险,对于因您的信用卡或支付信息泄露而导致的任何损失,GoDoc概不负责。
6.6 若您的医疗保险计划、保险公司、雇主或代理机构已与 GoDoc 达成协议,由其支付应付给 GoDoc 的费用或部分费用,或者应付费用是根据与 GoDoc 的其他安排确定的,该费用调整将反映在最终向您收取的费用中。 请向您的健康计划、保险公司、雇主或代理机构确认是否可报销相关费用。
6.7 若您的健康保险覆盖范围或员工福利未包含或不足以全额支付服务费用,您可能需承担全部或部分付款责任。
6.8 针对您对本应用程序的使用,您应承担以下费用及收费(统称“费用”):
6.8.1 针对视频问诊,您通过本应用程序请求的每项已完成的医疗服务需支付咨询费(“咨询费”),该费用根据 GoDoc 不时在本应用程序上规定的费率计算;以及按应用程序上标明的价格购买的任何药品费用(“药品费用”);
6.8.2 配送费(如有);及/或
6.8.3 税费(如适用)。
6.9 为免生疑义,GoDoc对费用的确定应为最终决定,具有决定性且对您具有约束力。
6.10 所有费用均需预付,且不可退还,但根据可能通知您的适用退款政策允许的情况除外;您进一步同意承担由此产生的所有税费及其他应缴款项。
6.11 我们可能会使用支付处理代理来处理您支付的任何费用。 当您向我们提供信用卡信息时,即授权我们和/或我们的支付处理代理在每个付款周期届满时,根据相关费用自动从您的信用卡账户扣款。若我们无法成功扣款,我们有权立即终止交易和/或终止您对账户的访问权限。
7. 取消、换货及退款
7.1 关于医疗服务/视频问诊功能: 除非平台上的服务列表另有规定,否则在以下情况下,您无权获得已支付费用的退款:(i) 您在预约时间开始前不足24小时取消预约,或您缺席预约;或 (ii) 任何已完成或由您终止的咨询。
7.2 若您因任何原因有权就GoDoc平台上的任何产品或服务获得退款,您同意GoDoc将全权酌情决定:(i) 将退款退还至您用于购买的信用卡,或 (ii) 通过银行转账退款,您应在GoDoc要求时提供相关银行账户信息。 在处理任何退款前,我们可能会要求您提供额外信息,您同意配合我们。若您未能在十四(14)天内提供处理退款所需的请求信息,则视为您已放弃退款权利。
8. 隐私
8.1 在您使用本应用程序、本网站或我们提供的任何服务时,GoDoc 需要收集您的个人数据,以便向您提供我们的服务。向我们提供个人数据即表示您同意我们根据《隐私政策》(可在 [隐私政策网站链接] 或本应用程序中查阅)收集、使用、处理和披露您的个人数据。
8.2 为免生疑问,我们的《隐私政策》同样适用于您为使我们能够为您提供服务而向 GoDoc 提供的任何线下数据(无论是在实体诊所、健康筛查/疫苗接种期间,还是其他情形)。
8.3 GoDoc 必须遵守当地的医疗保健隐私和安全法律,并采取安全措施以保护您的健康信息安全。 此外,您在视频问诊期间向医疗服务提供者提供的信息依法属于保密信息,但我们的《隐私政策》中详细描述的某些法律例外情况除外。与您的诊疗相关的信息(包括临床记录和病历)存储在由 GoDoc 及其符合新加坡《2012 年个人数据保护法》的外部服务提供商维护的安全加密服务器上。
9. DISCLAIMER OF WARRANTIES AND LIABILITY
9.1 To the maximum extent permitted by law, you irrevocably agree and acknowledge that:
9.1.1 we do not warrant or make any representations that the Website and/or Application is the appropriate channel of consultation for your particular healthcare problem, or meets your specific requirements. GoDoc disclaims any liability for any use of the Website and/or Application for the provision of any emergency services or where diagnosis or treatment-in-person is required. You should also consult a doctor in person or contact your local emergency services immediately if your medical condition is not minor or cannot be diagnosed or treated without a physical consultation, or otherwise falls within the following scope of conditions including without limitation: (i) urgent care or emergency conditions; (ii) serious conditions (e.g. breathlessness, severe or persistent pains, cardiac arrest); (iii) chronic conditions which have not been previously diagnosed by a doctor; (iv) any condition deemed during a video consultation via the Application to be in need of a physical consultation for further clarification, examination, diagnosis and/or treatment; and (v) any condition requiring further investigations including but not limited to laboratory tests, and imaging modalities;
9.1.2 you may be issued with a prescription for medicine by a Healthcare Provider and may be prompted to use delivery services for delivery or fulfilment of prescription medicines. You are under no obligation to purchase any prescribed medication. Healthcare Provider will use its best endeavours, based on the medical history you have provided and the symptoms you have described, to prescribe medicine appropriate for your condition. GoDoc shall not be responsible for (i) ensuring that you receive the medicine you are prescribed or that the medicine you receive is the same as that prescribed by Healthcare Provider; and (ii) any instructions in relation to the medication provided by the Healthcare Provider or anyone else associated with the provision of medication you have been prescribed;
9.1.3 we are not responsible for any of the information made available or accessed on or through the Website and/or Application or any decisions made by you based on any information made available or accessed on or through the Website and/or Application;
9.1.4 we do not endorse or recommend any specific tests, physicians, products, procedures, opinions, or other information that may be mentioned on the Website and/or Application and that any arrangement entered into between you and any Healthcare Provider or any third party named or linked to or from the Website and/or Application is at your sole risk and responsibility. The inclusion of Healthcare Providers on the Website and/or Application does not imply recommendation or endorsement of such professional nor is such information intended as a tool for verifying the credentials, qualifications, or abilities of any professional contained therein;
9.1.5 the Website and/or Application (together with any Services, or other content, material or information available on the Website and/or Application) are provided on an “as is” and “as available” basis, with all faults and without warranty of any kind. Your use of the Website and/or Application is at your own risk;
9.1.6 the Website and/or Application may use transmissions over the Internet which are never completely private or secure. You understand that any personal data, message or information which you send in the course of the use of the Website and/or Application may be made public on the Website and/or Application, and read or intercepted by others;
9.1.7 GoDoc does not warrant and hereby disclaims any representation, warranty or term with respect to the Website, Application and/or the Application Functions, whether express, implied or statutory, including but not limited to:(i) merchantability, satisfactory quality, fitness for a particular purpose, title, accuracy, quiet enjoyment, and non-infringement of third party rights, or as to the accuracy, correctness, reliability, timeliness, non-infringement of or compliance with any laws, regulations and/or third party rights in connection with the Website, Application and/or the Application Functions;(ii) the Website, Application and/or the Application Functions being available at all times, uninterrupted or error-free, or that defects will be corrected or that the Website, Application and/or the Application Functions and any related computer system is and will be free of all viruses and/or other harmful elements; (iii) the Website, Application and/or the Application Functions and any related computer system is and will be free from any unauthorised access, intervention, hacking, sabotage, fraud or infiltration by third parties; and(iv) the Website, Application and/or the Application Functions being compatible or working with any third party software, applications or third party services.
9.2 GoDoc and its partners are not liable for:
9.2.1 the potential and inherent risks associated with remote medical consultation and prescription through a Device, including without limitation: (i) the information transmitted by you or the Healthcare Provider may not be sufficient or accurate (e.g. poor lighting or sound) to allow for appropriate healthcare decision making, thus necessitating consultation with a doctor in person; (ii) reliance on self-measurement and reporting of symptoms, including body temperature, blood pressure and weight, may result in inaccurate evaluation and diagnosis; (iii) a lack of access to all your health records; and/or (iv) software, hardware, or data transmission problems or failures may impede, or cause disputes or delays in, evaluation, diagnosis or treatment;
9.2.2 any loss caused to or damage incurred or suffered by you or any person by reason of or arising from or as a consequence of any use of your account information and/or the Platforms or Services, performing any transactions, purchase and/or arrangement of delivery of Product, and obtaining and/or making any payment of any monies belonging to you;
9.2.3 any loss caused to or damage incurred or suffered by you or any person by reason of your erroneous, wrongful or fraudulent uploading of information, images, laboratory test results or diagnostic images, or provision of information by you to the Platform or the Healthcare Provider for the purposes of your use of the Platform or the Services;
9.2.4 any loss, damage or liability which may arise in connection to Services offered or Healthcare Products. All indirect and/or intangible damage, including without limitation, loss of income and consequential damages is excluded from GoDoc’s liability;
9.2.5 for the actions or inactions of any providers of Services in relation to you, your activities or for or in connection with Services; and
9.2.6 any suspension, discontinuation, upgrade or modification to the Application or Application Functions which we may carry out from time to time without giving any reason or prior notice to you which affects your use of the Services, Application and/or the Application Functions .The exclusions and/or limitations of liability in this Agreement shall not apply to the extent that such exclusions and/or limitations are prohibited by applicable law, including liability for death or personal injury arising from GoDoc’s negligence.
10 赔偿
10.1 您同意就以下事项向 GoDoc、我们的关联公司、相关公司、成员、管理人员、员工、代理人、合作伙伴及服务提供商(统称 “被赔偿方”)免受任何索赔、要求、损失、损害、费用或责任(包括律师费)的侵害,这些索赔、要求、损失、损害、费用或责任是任何被赔偿方因以下原因而遭受或可能遭受的:(a) 您通过本应用程序提交、发布、传输、传达、发送、发布、上传或以其他方式提供的任何信息或内容;(b) 您违反本协议及与您使用本应用程序相关的任何条款; (c) 您访问或使用本应用程序;(d) 我们为调查任何涉嫌违反本协议的行为而采取的行动,或因我们认定或决定已发生违反本协议的行为而采取的行动;以及 (e) 您侵犯任何其他人的权利。
11. 责任限制
11.1 在适用法律允许的最大范围内:
11.1.1 被赔偿方对因您使用或依赖本网站和/或应用程序(无论直接或间接)或与之相关而引起(无论如何产生)的任何性质、任何类型的索赔、损害或损失概不负责,包括但不限于因以下原因遭受的任何索赔、损害或损失 (无论是否为附带、特殊、间接或后果性损失)——该等损失系因或与以下情形有关或基于以下情形:应用程序上或通过应用程序提供或访问的任何内容或任何其他信息,或应用程序中包含或可从应用程序获取的任何内容或信息;您对网站和/或应用程序及/或应用程序功能上提供或通过其访问的任何产品或服务的使用或依赖;或与此相关的任何权利侵权,包括但不限于任何数据、利润、 商誉、预期节省、声誉、业务或商业机会的损失,无论其原因如何,即使我们已被告知此类可能性;且
11.1.2 在任何情况下,被赔偿方均不对人身伤害或任何附带、特殊、间接或后果性损害承担责任,包括但不限于因利润损失、数据损坏或丢失、 未能传输或接收任何数据、业务中断或任何其他商业损害或损失,无论其因何原因引起,亦无论基于何种责任理论(合同、侵权或其他),且即使我们已被告知此类损害的可能性。
11.2 倘若 GoDoc 被认定应承担责任,GoDoc 仅对根据具体情况可合理预见的直接损失或损害负责,且该等损失或损害须由 GoDoc 的重大过失或故意违约所造成。
12. 终止
12.1 我们有权随时基于任何理由,在我们全权酌情决定的情况下,无需事先通知您,终止或暂停您的账户。 尽管发生任何此类终止或暂停,您仍需承担您产生的未付金额。
12.2 您可随时因任何原因通过访问我们应用程序内的“账户删除”页面来停用/终止您的账户。此外,您也可通过发送电子邮件至 godoc.sg@gmail.com 来停用/终止您的账户。
12.3 终止后,GoDoc:
12.3.1 将不再承担提供服务的义务;且
12.3.2 在遵守适用法律及《隐私政策》的前提下,保留根据其内部记录保留和/或内容销毁政策,保留、删除或销毁存储、发布或上传至应用程序的所有信息、通信及材料的权利,包括但不限于您的个人数据和医疗记录。
12.4 协议终止后,您应立即停止使用本平台。
12.5 在适用法律允许的范围内,免责声明、赔偿条款、责任限制、终止条款以及您的陈述与保证在本协议终止后仍然有效。
13. 不可抗力
若因超出其合理控制范围的事件、原因及情况导致延迟履行或未能履行本协议项下的义务,GoDoc及本协议项下的任何服务提供商均不承担责任,此类情况包括但不限于:天灾、政府行为(包括监管机构发布的指令及法律修订)、电信设施或网络的关闭或故障、 应用程序分销商的故障或行为、信息技术或电信设备或设施的故障、黑客攻击、拒绝服务攻击、病毒或其他恶意软件的攻击或感染、停电、流行病、洪水、火灾、爆炸、事故、骚乱、劳资纠纷,或无法获得材料。
14. 一般条款
14.1 本协议、隐私政策及其中所含文件构成您与 GoDoc 之间关于本应用程序的完整协议和谅解,且您签订本协议并非基于本协议中未载明的 GoDoc 的任何陈述、保证或承诺。 但本协议中的任何内容均不得用于限制或排除对欺诈行为的责任。
14.2 我们可能会不时通过在网站或应用程序上发布修订内容来更新本协议的条款。 在任何此类修订后,您继续使用本网站和/或应用程序,即表示您同意受经修订的本协议约束。
14.3 本协议的任何条款在任何司法管辖区的法律下被认定为非法、无效或不可执行,均不影响其在其他司法管辖区的法律下的合法性、有效性或可执行性,也不影响其他条款的合法性、有效性或可执行性。
14.4 任何一方未行使或延迟行使本协议项下的任何权利或救济,均不构成对此权利或救济的放弃;任何权利或救济的单次或部分行使,亦不排除对其进行其他或进一步行使,或行使任何其他权利或救济。本协议规定的权利具有累积性,且不排除法律规定的任何权利或救济。
14.5 若我们经善意判断认为某项违约或不履行行为已达到需采取临时限制令或其他即时禁令救济的程度,且此类救济是适当或充分的,我们可寻求即时禁令救济。
14.6 GoDoc 可通过在应用程序上发布一般通知、向您的电子邮箱发送电子邮件、向您的手机号码发送短信,或通过挂号信寄送书面通知至您的地址等方式发出通知。 此类通知所用的您的联系方式应以 GoDoc 记录中的信息为准。您仅可通过书面形式将通知发送至我们的指定地址或电子邮箱向我们发出通知。
14.6.1 通知应在邮寄或投递(如通过挂号信发送)后 48(四十八)小时届满时、发送(如通过电子邮件发送)后 2(两)小时届满时(前提是未收到表明电子邮件未送达的自动回复),或发送(如通过短信发送)后立即,被视为已正式发出并收到。 无论您是否实际查阅,本应用程序上的通知均应被视为您已收到。虽然我们会尽力及时回复您的通知,但无法保证回复速度始终一致。14.6.2 本条款不适用于就法律程序发出的通知。
14.7 本协议条款具有可分割性,若任何条款或其任何部分因任何原因被有管辖权的法院或仲裁庭认定为非法、无效或不可执行,该条款的其余部分以及本协议的所有其他条款,在法律允许的最大范围内仍应保持有效并可执行,以实现双方的意图。
14.8 我们保留根据我们认为适当的条款,将我们任何应用程序功能或服务的履行委托或分包给任何关联公司、服务提供商、分包商和/或代理人的权利。
14.9 未经我们事先书面同意,您不得转让本协议项下的权利或转移本协议项下的义务,但我们可自行决定将本协议项下的权利转让或义务转移给任何关联公司或第三方。
14.10 除 GoDoc 的关联公司、GoDoc 的合作伙伴以及本协议中明确规定的情况(包括但不限于第 10 条所述情形)外,非本协议当事方的人员无权根据《2001 年合同(第三方权利)法》强制执行本协议的任何条款或享有其利益。 无论本协议有任何条款规定,在任何时候撤销或修改本协议均无需征得非本协议当事方的同意。
14.11 倘若本协议以英语以外的任何语言签署或翻译,在法律允许的范围内,本协议的英文版本应具有约束力,并优先于外语版本。
15. 适用法律与管辖权
本协议应受新加坡法律管辖并据其解释。双方应本着诚意,通过友好协商(由任一方向另一方发出书面通知后启动)及时解决因本协议引起或与本协议有关的任何争议。 倘若自任一方向另一方发出书面通知告知争议发生之日起三十(30)日内,该争议无法通过友好协商解决, 因本合同引起或与之相关的任何争议,包括关于其存在、有效性或终止的任何问题,均应提交并最终由新加坡国际仲裁中心(“SIAC”)根据其当时有效的《新加坡国际仲裁中心仲裁规则》(“SIAC规则”)进行仲裁解决,该规则被视为已通过引用纳入本条款。
仲裁地应为新加坡。
仲裁庭应由一名由SIAC指定的独任仲裁员组成。
仲裁语言应为英语。
